Antalet aktier och röster i Crunchfish AB (publ) (”Crunchfish” eller ”Bolaget”) har ökat med 511 000 aktier till följd av utnyttjande av teckningsoptioner inom ramen för Bolagets incitamentsprogram 2018/2022.

Totalt utnyttjades 422 494 teckningsoptioner för teckning av 511 000 aktier. Efter ökningen uppgår antalet aktier och röster i Bolaget till 31 436 298 och aktiekapitalet till 1 446 069,708 SEK.

Grundare Paul Cronholm och vVD Joakim Nydemark, har ingått villkorat avtal om att delvis överlåta teckningsoptioner från sina innehav i incitamentsprogrammet 2018/2022 för att finansiera teckning av nya Crunchfish aktier med sina resterande optioner.

Crunchfish grundare Paul Cronholm och vVD Joakim Nydemark, som är insynspersoner, har ingått villkorat avtal om att överlåta 39 000 respektive 158 661 teckningsoptioner från sina innehav i incitamentsprogrammet 2018/2022 för att finansiera teckning av nya Crunchfish aktier med sina resterande optioner.

Bakgrunden är att på Crunchfish AB:s extra bolagsstämma den 11 september 2018 beslutades att införa ett incitamentsprogram för bolagets ledning och övriga anställda genom en riktad emission av teckningsoptioner med rätt till teckning av nya aktier i bolaget. Den riktade emissionen omfattade 700 000 teckningsoptioner av serie 2018/2022, envar med rätt till teckning av en (1) ny aktie i bolaget till en kurs om 10,92 SEK per aktie under perioden 1–30 juni 2022. Optionerna emitterades till ett helägt dotterbolag och överlåts därefter till mottagarna till ett pris om 0,23 SEK per teckningsoption, vilket motsvarade värde enligt Black & Scholes-modellen. Av de 700 000 teckningsoptionerna har 620 000 överlåtits till bolagets ledning och övriga anställda samt heltidsanställda konsulter. Efter omräkning på grund av nyemissioner i mars 2019, april 2020 samt november 2021 har innehavare av en teckningsoption rätt att under teckningsperioden för varje teckningsoption teckna 1,2095 nya aktier i bolaget till en teckningskurs om 9,00 SEK.
